Before You Sign That 3PL Contract, Ask These Questions

Signing with a 3PL without asking the right questions first is how a company ends up paying for a relationship that doesn't work and can't easily get out of it. Most contracts run 24 to 36 months. That's a long time to find out the hard way.

 

Start with inventory visibility. Ask them specifically how cycle counts are conducted, who initiates them, how often, and what system they use to record results. If the answer is vague — "we use our WMS" — push harder. What WMS? How does count data get reported back to you? Can you pull it yourself or do you have to request it? The difference between real-time visibility and a monthly emailed spreadsheet is enormous when you're trying to troubleshoot a shortage mid-season.

 

Ask about error accountability. What's the process when a pick error or a short shipment happens? Is there a formal claims process or is it just a phone call and a handshake? Get that in writing. A good 3PL won't flinch at the question. A bad one will get cagey.

 

Ask what happens to your inventory during their own peak periods. If they're running five other clients through the same DC in Q4, how does that affect your slot access and your count schedule? Your busy season and their busy season might overlap in ways nobody mentions during the sales conversation.

 

A few other things worth asking before you sign:

 

- Who owns the inventory data, and in what format can you export it?

- What's the minimum notice for ending the relationship, and what does the offboarding process look like?

- How are discrepancies between your system and their WMS reconciled, and how long does reconciliation typically take?

 

None of these are gotcha questions. They're just the kind of thing a reasonable ops person would want to know before handing over their inventory to someone else's building. If a 3PL can't answer them clearly, that tells you something 😬 before you've signed anything.
